A sample, so you can judge the work.
Verdict: the deal is workable, but three clauses put the customer at unnecessary risk. Fix them before signing. Everything else is standard.
For each issue you get three positions: what to ask for first, what to fall back to and how to negotiate it, and the bottom line you should not go below. Each comes with proposed wording.
Clause 12.1: renews for 12 months unless you give notice 90 days before expiry.
Why: You never lose money by missing a notice date.
Negotiation note: The vendor wants predictable revenue. Offer a 24 month initial term in exchange for the shorter notice.
Why: The reminder is what protects you. Without it, a missed date locks you in for another year.
Clause 5.2: 100% of the annual fee is due before any service is delivered.
Why: You pay as the service is delivered, and you limit your loss if the vendor fails.
Negotiation note: Offer the 50% upfront as your concession, and ask the vendor to hold the price in return.
Why: The real risk is paying for service you never receive. A refund right removes it.
Clause 14: the vendor's liability is capped at one month of fees. Yours is unlimited.
Why: A one sided cap means the vendor can fail you at almost no cost, while you carry the full risk.
Negotiation note: Vendors often accept a lower cap if you do not fight the amount. Trade the cap for carve outs that matter more: data, confidentiality, gross negligence.
Why: You can live with a low cap. You cannot live with unlimited liability on one side only.
Fictional example for illustration. It is not legal advice and does not describe any real contract. Proposed wording is shown in English, the language of the contract.
